collection and paying agent for Assignor's stockholders, ratably,
in accordance with their respective stockholdings in Assignor
(the stockholders and their number of shares being set forth
hereinafter), the said Lakeside Garderis, Inc. note and mortgage
dated March 19, 1969, together with the obligation descr~bed
therein and the monies due and to become due thereon with interest
fram the ~ day of , A. D., 1969 , sub~ ec t, how-
ever, to those two certain notes payable of Assignor, each dated
March 19, 1969, each in the amount of $15,000.00, each being
payable in principal sums of $7,500.00 on March 19, 1970 and 1971,
plus interest, one such note payable to M. A. Ramsay and the other
such note payable to Normal Babel Imestment Co., and subject to
any other legally enforceable obligations of Assignor not dis-

i charged by it prior to the completion of its liquidation and

! dissolution.
