A. The first mestinq of each board newly elactsd by tha .
mambera ~hall be held im~aadiately upon adjourn:asnt ot the
f~ maetinq at which they were elected, provided a quoru~ ehall

ii then be present, or as soon thereafter as may be practicable.
The annual meetinq of tha board of directore ~hall be held
ii , at the place as tha qeneral membe~s' meeting, aad immadiately
after the acljournment of aaa~e. ~ ~ ~
B. No notice of a board of directors meetinq shall be
requirad if the directora maet by unanimous ~rritten conaant.
The diractors may, by reaolution duly adopted, eat~blish

raqular nanthly, quarter-annual or semi-annual meetinqe. If
such resolution fs adopted, ao notice of such regular meeting

~ of the baard of directors shall be required.

E C. Special areetinqs of the board may be called by the

~ President on five (5) days notice to each dirsctor. Sypecial ~

~ meetings ahall be called by the President or S~cretary in a~
like manner and on like notice on tha Nritten requast of

directors shall be nece8sary and auffieient to eonstitute ~
a quorwaa for the transaction of businesa, and the act of ~
