A. The annuaZ members' meeting shall be held at the office
of the corporation at 10:00 A.A;., Eastern Standard Time, on the
2nd day of April of each year, for the purpose o£
electing di.rectors and transacting any other business authorized
to be transacted by the members; provided, however, that if that
day is a legal holiday, the meeting shall be held at the same ;

hour on the next day that is not a legal holiday.
B. Special members' meetin~s shall be held whenever called ;

by the President or Vice President or by a r~ajority of the Board ~
of DireGtors, and must be called by such officers upon receipt ~
,
of a written re quest from members entitled to cast one-third s
of the vates of the entire membership. `

Notice of all members' meetings, stating the time and ~
place and the objects for which the meeting is called, shall be
given by the President, Vice Presid~nt or Secretary, unless -
waived in writing. Such notice shall be in writing to each
member at his address as it appears on the books of the Associa-
tion and shall be mailed not less than ten (10) days nor more than
sixty (60) days prior to the date of the meeting. Proof of such
mailing shall be given by the affidavit of the person giving the
notice . Notice of ineeting may be waived before or after
meetings.
D. A quorum at members' meetin~s shall consist of persons . '

bership. The acts approved by a majority of the votes present '

at a meeting at which a quorum is present, shall constitute the
acts of the members, except xhen approval by a greater number
of inembers is required by the Declaration of Condominium, the
Articles of Incorporation or these By-Laws.
E. Votir,g.
1. In anp meeting of inembers the owners of dwelling
units shall be entitled to cast one vote as the owner of a
