KIMCO FT. PIERCE, INC., a Florida corporation, (hereinafter called

"Kimca"), STAiVDARD OIL COMPANY, a division of Chevron Oil Company, ~
a California corparation, (hereinafter called "Standard"), FIRST
FEDERAL SAVINGS AND LOAN ASSOCIATION OF FORT PIERCE, a corporation
existing under the laws of the United States of America, (herein-
after called "Federal"), and FORT PIERCE INVESTMENTS, a Florida
limited partnership, (hereinafter called "FPI"); '

W I T N E S S E T H:
WHEREAS, Kimco, Standard, Federal and FPI are hereinafter

collectively referred to as the "Interested Parties", and Standard,
Federal and FPI are hereinafter collectively referred to as the
"Grantors"; and
WHEREAS, the Grantors have granted and conveyed to Kimco
an easement to constr`uct and maintain s anitary sewer facilities

i (the "Facilities") within the "Easement Area", which Easement Area °
; is located in the area outlined in red on Exhibit "A" attached her~to;

and
WHEREAS, the Interested Parties are desirous of setting

forth the rights and obligations with respect to the installation
and maintenance of the Facilities.

NOW, THEREFORE, for and in consideration of the mutual ~
benefits hereunder and all mutual covenants and conditions con-

tained herein, the Interested Parties agree as follows: #

A. The cost of the initial installation of the Facilities ~
from the lift station,,-~ncluding that portion that runs across
Standard's property to FPI's property line shall be borne equally
by Kimco and Standard. ~
B. The cost of the initial installation of the Facilities ~
that run from the point of termination as set forth in Paragraph A ~

across FPI's land to Kimco's property shall be borne solely by Kimco. ~
