PIERCE, INC., a Florida corporation, (hereinafter ` i ~ called "Kimco"), STANDAR.D OIL COMPANY, a division of Chevron i Oil Company, a California corporation, (hereinafter called "Standard"), FIRST FEDERAL SAVINGS AND LOAN ASSOCIATION OF FORT PIERCE, a corporation existing under the laws of the United States of America, (hereinafter called "Federal"), and FORT ~PIERCE INVESTMENTS, a Florida limited partnership, (hereinafter called "FPI") ; ' W I T N E S S E T H: WHEREAS, Kimco, Standard, Federal and FPI are hereinafter collectively referred to as the "Interested Parties", and Standard, Federal and FPI are hereinafter collectively referred to as the "Grantors"; and WHERE~S, Standard, Federal and FPI own the parcels of land described in Schedule "A" attached hereto as the "Standard ~ Land", the "Federal Land", and the "FPI Land", respectively, and Kimco owns the parcels of land described in said Schedule "A" as s ~ ? the "Kimco Land" and the "Adjacent Kimco Land"; and ' WHEREAS, the Grantors have requested Kimco to construct i i and maintain sanitary sewer facilities (the "Facilities") within ! ~ the "Easement Area", which Easement Area is located in the area g ~ ~ outlined in red on Schedule B attached hereto; and ~ i ~ WHEREAS, Kimco is desirous of obtaining easenents from ~ the Grantors for its construction and maintenance of the ~ ~ Facilities, in accordance with all applicable Iocal, state and ~ ~ ~ ~ national codes and regulations; and ~ WHEREAS, the Interested Parties have this day entered k ~ = into an agreement (hereinafter called the "I F, M Agreement") ~s ; ~ ~ setting forth the rights and obligations among them with respect ~ ~ ~ to the installation and maintenance of the Facilities, which i ~ M A eement is made a art hereof as full and completely as ~ ~ I $ gr P y ~ t ~ if set forth herein. ~ ~ ~ ~ . ~ ~ s# ~ r}c~ _ ~ 600K184 PJ1Gf~~~?V This instrument was prepared by ~ ~ ~ Alan Vuernick, attorney at law, whose addr~ss is 245 Park Avenue, ~ ~ ~ __New ~ork, New York 10017 ~ ~ ° ~ _ : > - - . - ~ . - - _ _ _ ~ _
