WHEREAS, it ie the. deeire of the parties to provide for a satia-
faction of tha aforeaaid mortgage,

NOW, THEREFORE, for and in consideration of the mutual coven- '
ants contained herein, the parties agree as follows; that
If as and when the mortgagors invest into COPLAN PIF~' ~
SUPPLY CO., INC. , the sum of $100, 000. 00, in cash, as additional work-
ing capital, and this money ia then paid to U. M. & M. FINANCIAL
CORP. to reduce its loan to COPLAN PIPE & SUPPLY CO. , INC. ,

U. M. & M. FINANCIAL CORP. , will upon request of the mortgagors, ~
satisfy the said morf~gage of April 29, 1970, provided that at the said t
time the request for satisfaction is made tha~t there does not exist a de- , ~
fault sither in the financing agreement dated October 11, 1961, and amend..
ments thereto, or in the mortgagors' obligations uader the said collateral
real estate mortgage deed dated April 29, 1970.
