•Section 4. Annuai rseeting The annual meetinq shall be held
at the campsite on December 31, 1970 and thereafter on December
~31st of each yea~, for the electinq of directors and -transactinq
other~business authorized to be transacted by the members; pro-
vided, however, that if that day is a legal holiday the meetinq
shall be held at the same hour on the next secular day followinq.
At the anriual meetinq, the n?embers 8hall elect by a plurality
vote (cumulative votinq prohibited), a Board of Directors ar~d
transaat such other business as may properly be brought before •
the meetin~g.
Section 5. Special Meeting Special meetinqs of the mem-
bers for any purpose or purposes, unless otherwise prescribed by
statute or by the Articles of Incorporation, msy be called by _
the President, and 8ha11 be called by the President or Secretary
at the request, in writing, of a majority of the Doard of Directors,
or at the request, in writing, of Votinq Members representinq a
majority of the_unit owners' total votes, which request shall ~
state the purpose or purposes of the proposed meetinq. Businesa ~
transacted at all special meetinqa shall.be confined to objects
stated in tY~e notice thereof.
~.Section 6. t~aiver and Consent Whenever the vote of inembera ~
at a meetinq is required or permitted by any provision of the -
statutes or of the Articles of Incorporation, or of these ~By-Laws,
to be taken in connection with euc~y action of the corporation,
the meetinq and vote of inembers may be disper?sed with if all the ~
members who w~ould have been entitled to vote upon the action if
such meetinq were held, shall consent in writing to auch action
beinq taken.
