tb) The orqamizational meetinq of a newly elected Board of
Directors shall be held within ten (10) days of their election
at such place and time as ahall be fixed by the Directors at the
meeting at which they were elected and no further notice of the ~
organizational meeting shall be necessary providing a quorum shall

be present. r

Section 2. Removal of Di=ectors At any time after the
first annual meetinq of the membership, at ar~y.duly convened
reqular or special meetinq, any one or more of the directors may
be removed with or without cause by the affirmative vote of the
votinq members casting not less than two-thirds of the total
votes present at said meetinq, and a successor may then and there
be elected to fill the vacancy thus created. Should the member- ~
ship fail to elect said successor, the Board of Directors may fill
the vacancy in the manner provided in Sectfon 3 below.
Section 3. Vacancies on Directorate If the office of any
Director or Directors becomes vacant by reason of death, resiqna-
tion, retirement, disqualification, removal from office, or other=
wise, a majority of the remaining Directors,~thouqh less thari a
quorun?, shall choose a successor or successors, who shall hold
office for~the balance of the unexpired term in respect to which

of the Board of Directors. ~
Section 4. Disqua2ification and Resignation of Directors ~
Any Director raay resiqn at any time by sending a written notice of ~

such reaiqnation to the office of the corporation delivered to the ~

Secretary. Unlesa otherwise specified therein, such resiqnation
ahall take effect upon receipt thereof by the Secretary. More ~ ~
than three ~3) consecutive absence8 from reqular meetinqs of the
