6.1 Tha Affairs of the Assocfation shall be managed by a Board
of Directors who ehall be memb~rs of the Aasxiation, excepting that
the firat Hoard of Directors shall consist of three (3) Directora who
naed not be members of the Associatfon, and thareafter the membership
of the Board shall consfet of aot lesa than five (5) Directorsf pro-
vided, hawever, that the Board shall consist of an odd number of inembere,

8.2 Directors of the AssocfAtfon shr~ll be elected at the Annual
nleetir~q of the members ir~ the manner provided by tlhe By-Laws. Directora
may be removed and vacanaies on the Boaxd ahall be filled in the mr~nner
provided by the By-Laws.
8.3 The firat election of Directors ehall not be held until ~tECAP

mamberahip meetinq in November of 19~1, whichever occurs first. The
