h'wery Director and every Officer of the Aasociation shall be
i~ndemnified by the Aaaociation aqainst ~11 expenses and liabilities,
including counsel fees, reasonably incurred by or imposed upon him in ;

connectfon with any proceeding or any s~ttlement oP any proceedinq to
which he may be a party, or ir~ which he m~y become involved by re~son
of his being or having been s Director or Officer of the Association,
whether or not he ie a Director or Officer at the time euch expensea
are incurred. except when the Director or Officer is adjudged guilty of
willful misfeasance or malfeas~nce in the performance of his dutiee.
Tho foregoing right of indemnification shall be i~ addition to and ex-
~lusive of all other~ riqhts and remedies to which auch Director or
4fficer ma~r be entitled.
ARTICLE ~C
The By-Laws O f the~ A s soc i~ Q~ be adopted bv the Boa rd ~ o f
Directors t+nd may be alter~d, amended or rescinded 3s~ the manner provided
therein.

Araendments to these Articles of Incorporation ahall be proposed '
