The affairs of the Association sha11 be managed by a Board-o~ Directors who sha11 be members of the Association, excepting that the first Board of Directors shall consist of three (3) directors who need not be members of the Association, and thereafter the membership of the Board shall consist of not less than five (5) ~irectors. The Board of Directars may from time to time increase or decrease the number of pexsons to serve on the Board, provided, however, that the Board shall consist of an odd number of inembers, and provided, further, that following the term of office of the first Board of Directors, the Board shall-never consist of less than five (5j members. Any increase or decrease in the number of inembers on the Board shall be effectuated at least thirty (30) days prior to a regular annual election of the Board, and such change in number shall be effective as of the date o~ the next regular election. 3.2 Election of Directors shaZl be conducted in the following manner: (a) Election of Directors shall be held at the annual members' meeting, subject to the provisions of sub-paragraph 3.2 (f1 hereof. (b) The Board of Di.rectors may, at its discretion, designate a nominating committee of not less than thr~e (3) nor more than five (5) members. In the event the Board shall elect to designate such a cominittee, the committee shall be designated not less than thirty (30) days prior to the annual election meeting, and shall be charged with the duty of nominating one person for - each_director to he electe~,.provided, however, addi-- tional nominations shall be received from the f loor prior to elections at the annual election meeting. (c) The election shall be by ballot (unless dispensed with by unanimous consent) and by a plural- ity of the votes cast, each person voting being en- titled to cast his votes for each oF as many nominees as there are vacancies to be filled. There shall be no cwnulative voting. (d) Except as to vacancies created by removal of directors by members, vacancies in the Board of Directors occurring between annual meetings of inembers shall be filled by the remaining directors. (e) Any director may be removed by concurrencs of two-thir~3s of the votes of the entire membership at - a special meeting of the members called for t.hat pur- pose. The vacancy in the Board of Directors so created shall be filled by the members of the Association at the same meeting. (fj Provided, however, that until the Developer has closed the sales of all of the condominium units, or until the Developer elects to terminate its control of the Association, or until the first annual members' meeting taking place a£ter the Declaration of Condominium has been recorded for one (1) full year, whichever occurs first, the first directors of the Association shall serve, and in the event of vacancies, the remaining directors shall fill the vacancies, and if there are no remaining directors, the vacancies shall be f illed by the Developer. -3- 60ox p~~ 81~ LAW OFFIGES OF GOLOfTE1N, FRANKLIN, CHON(N A SCHRANK, P.
