Notice of regular meetinqs shall be given to each dire~tor, personally or by mail, telephone or telegraph, at least three (3) days prior to the day named for such meetinq. • 3.6 S ecial meetin s of the directors may be called by the President and must e called by the Secretary at the written request of one-third of the directors. Not less than _ three (3) days notice of the meetinq shall be given personally or by mail, telephone or teleqraph, which notice shall state the time, place and purpose of the meeting. ~ 3.7 Waiver of notice. Any director may waive notice of i- a meeting be ore or a ter e meeting and such waiver shall be deemed equivalent to the giving of notice. 3.8 A orum at directors'.meetings shall consist of a majority of e en ire Board of Directors. The acts approved by a majority of those present at.a meeting at which a quorum is present shall constitute the acts of the Board of Directors, except when approval by a greater number of directors is re- quired by the Declaration of Condominiwm, the Articles of Incorporation, or~these By-Laws. 3.9 Ad'ourned meetia s. If at any meeting of the Board of Directors ere e ess an a quorum present, the majority of those present may adjourn the meeting from time to time. No further notice need be given of an adjourned meeting. 3.10 Joinder in meetin b a roval of minutes. The joinder of a irector in e action o a meetinq- y signing and concurring in the minutes of that meetinq shall constitute the presence of such director for the purpose of determining a quorum. ~ - ~ 3.11 The presiding officer of directors' meetings shall ~ be the Chairman of the Boarc~if such an officer has been elected; ~ and if none, the President shall preside. In the absence of the presiding officer the directors present shall desiqnate one of their number to preside. 3.12 The order of business at directors' meetings shall be: (a) Calling of roll. (b) Proof of due notice of ineeting. (c) Readinq and disposal of any unapproved minutes. (d) Reports of officers and committees. (e) Election of officers. (f) Unfinished business. (q) New business. ~ (h) Adjourrunent. 3.13 Directors' fees, if any, shall be determined~by members of e Association, and approval of any such fees shall require the affirmative note of not less than two-thirds of the entire membership of the Association, provided, directors desiqnated by the Developer, and the first Board of Directors, shall not be entitled to any fees or compensation'for their services as directors. 4.
