THIS MORTGAGE DEED, executed the 27th day of October,
1970, by KDI Electro-Tec Corp. a Delaware Corporation, 1600 North
Main Street, Blacksburg, Virginia, 24060, hereinafter called the
"mortgagor", to The First National Bank of Cincinnati, as Agent,
a national bankinq association organized under the laws of the United
States of America, whose address is Fourth & Walnut Streets,
Cincinnati, Ohio 45202, hereinafter called the "mortgagee".
