Lo elect said successor, the Board of Directo~s may
fill the vaca~cy in the manner provided i~ Section 4
below.
Section 4. Vacancies on ~i rectorate. I f the i
office of any Di~ector or Directors becomes vacant by
reason of death, ~esig~ation, retirement, disqualif-
cation, ~emoval from office, or otherwise, a ma,jority
of the~ remaining Directors, though less than a quorum,
shall choose a successor ar sucessors, who shall hold
office for the balance of the unexpired term in respect
to which such vacancy occurred. The election held for -
tfie purpose of fili~ing said vacancy may be held at a~y
regular or special meeting of the Board of Directors.

Section 5. Qisqualification and Resignation of ~
Di rectors . Any Di rector may res i gn at any t i me by send- ~
ing a_written ~otice of such resignation to the office
of the Corporation delivered to the Secretary. Unless
otherwise specified therein, such resignation shall take
effect upo~ receipt thereof by.the Secretary. Mo~e than
three (3~ consecutive absences from regular meetings of
the Board of Directors, unless excused by resolution of
the Board of Directors, shall automatically constitute
a resignation effective when su~h resignation is accepted
by the Board of Directors. In the event a Director
ceases to be an o~rner of a Condominium unit or having an
interest thertin, or in the event corporate ownership
ceases to be an officer of said corporation, then the
directo~ship shall imMediately and automatically terminate.
No member sfi ali continue to serve on the Board should he
be more than 30 days delinGuent in the payment of an as-
sessment and said delinquency shall automatically constitute
a resignation effective when such resignation is accepted
by the Board of Directors. '

Section 6. Regular Meetings. The Board of Di~ec- ~
~ tors may establish a schedule of regular meetings to be - ~
~ held at such time and place as the Board of Directors may ~
designate. Notice of such regular meeiings shall never- ~
theless be given to each Director personally or by mail,
telephone or telegraph, at least five (5) days prior to
the day named for such meeting.

Section 7. Special Meetings. Special meetings i
~ of the Directors may be called by the President.and must
~ be called by the Secretary at the written request of one-
third of the votes of the Board. No less than five days'
~ notice of tfie meet+ng shall be given personaliy or by mail,
~ telephone ar telegraph, whith notice shail state the time, ;
