The principal officers of the corpo~at_on sha ~ be a President, a Vice-Preside~t, a Secretary and a Treasurer, all of whom shalt be elected by the Board of Directors. One • person may not hold more than one of the aforesaid _ offices, except one pe~son may be both Sec~etary and Tteasurer. The President and Vice-President shall be - membe~s of the Board of Directors. ~ Section 2. Election. The officers of the cor- ~ poration designated in Section T above shall be elected annually by the Board of Directors, at the organizational meeting of each new Board following the meeting of the members. Section Appointive Officers. The Board may appoint an Assistant Secretary and an Assistant Trea- surer and such other officers as the Board deems. nec- essary. Section 4. Term. The officers of the corpora- tio~ shall hold office until their successors are cho- • sen and qua 1 i-fy i n the i r s tead . Any of f i.cer e 1 ected or appointed by the Board of Directors may be removed at any time, with or without cause, by the Board of Directors, provided however, that no offi.cer shall be removed except by the affirmative vo~te for~removal by a majori ty of the whole Board of Di rectors (e. g. , i f the Board of Directors is cpmposed of nine persons, then five or said Qirectors must vote for removal). if the office of any officer becomes vacant for any reason, the vacancy shall be filed by the Board of Directors. i Section 5• The President. He shall_be the chief t ~ executive officer-of the corporatio~; he shall preside ~ ~ at all•meeti~gs of the. unit owners and of the Boa~d of Directors. He shall have executive powers and general i E supervision over the affairs of the corporation and ~ ~ other officers. He shali sign all written contracts ~ to perform all of the duties incident to the office and ~ ~ which may be delegated to him from time to time by the Board of Di rectors . ~ . - - ~ Section 6. The Yice-President. He shall perform ~ all of the duties of the President in his absence or ; disability and such other duties as may be required of ' ~ . him from time to time by the Board of Directors. ~ ~ t ~ Section 7. The Secretary. He shall issue no- ~ ~ tices of all Board of Directors meetings and all meet- ~ ~ ings of the unit owners; he shall attend and keep the = minutes of the same; he shall have charge of all of ~ the corporation's books, records and papers except ~ those kept by the Treasurer. He shatl have custody of ~ the seal of the Association.
