OF

In consideration of Ten Dollars and other qood and
valuable considerations, WINDMILL VILLAGES OF AMERICA, INC,, a
Florida corporation, as successor corporation to WINDMILL VILLAGE
BY THE SSA, INC., a Florida corporation; and WINDMILL VILLAG$ BY

T8~ SEA ASSOCIATION, INC., a Flor~da corporation not for profit,
hereby aqree to the termination and cancellation of that certain
AGREEMENT dated the 28th day of December, 1969, by and between
WINDMILL VILLAGE BY THE SEA, INC., a Florida corporation, and •
WINDMILL VILLAGE BY THE SEA ASSOCIATION, INC., a Florida corporation
not for profit, which was recorded in Official Records Book 182 on
pages 85 to 91, inclusive, in the Public Records of St. Lucie County,
Florida, and that certain ADDENDUM AGREEMENT dated the 12th day of
January, 1970, by and between WINDMILL VILLAGE BY THE SEA, INC., a
Florida corporation, and WINDMILL VILLAGE BY THE SEA ASSOCIATION,
INC., a Florida corporation not for profit, which was recorded in
Official Records Book 182 on paqes 1176 and 1177 in the Public
G Records of St. Lucie eounty, Florida.
