~ 2.9. Proviso. Provided, however, that until the
Lessor is no lonqer obligated to share in the expenses of the
Recreation Center and of the Association,and its membership in the
Association has terminated as provided for in the Articles of .
Incorporation of the Association, the proceedings of all meetings
of inembers of the Association shall have no effect unless approved
by the board of directors.
3. Directors.
3.1. Membership. The affairs of the Association shall
be managed by a board of not less than three nor more than seven di-
j rectors, the exact number to be determi.ned at the time of election.

i 3.2. Election of directors shall be conducted.in the

~ followin~ manner:

~ a. Election of directors shall be held at the
~ annual members' meeting.
~ b. A nominating committee of five (5) members
shall be appointed by the board of directors not less than 30 days
~ prior to the annual members' meeting. The committee shall nominate
one person for each director then serving. Nominations for addi-
y
~ tional directorships created at the meeting shall be made from the ~
~
~ floor, and other nominations may be made from the floor.
~ ~ c. The election shall be by ballot (unless
~
~ dispensed by unanimous consent) and by a plurality of the votes cast,
