A. The annual members' meeting shall be held at the office
of the corporation at 10:00 A.M., Eastern Standard Time, on the
day of of each year, for the purpose of
electin~ directors and transacting any other business authorized
to be transacted by the members; provided, however, that if that
day is a legal holiday, the meeting shall be held at the same
hour en the next day that is not a legal holiday.
B. Special ~:embers' meetin~s shall be held whenever called
by the President. or Vice President or by a majority of the Board ~
of Directors, and must be called by such officers upon receipt
cf a written request from members entitled to cast one-third
of the voLes of the entire membership.

~iace ana the ebjects for which the meeting is called, shall be
given by the President, Vice President or Secretary, unless
~raived in writing. Such notice shall be in writing to each
member at his address as it appears on the books of the Associa-
tion and shall be maiied not le ss than ten (10) days nor more than

~ sixty (6G) days prior to the date of the meeting. Proof of such
r..ailin~ Ghall be given by the affidavit of the person giving the
notice. Notice of ineeting may be waived before or after
