required for any such modification or alteration.
In case an e~ent of defaul~, as defined in the Indentnre, shall
occnr, the principal of all the Bonds at any snch time outstanding
nnder tbe Indenture map be declared and become due and payable,
npon the conditions, in the manner and with the effect provided
in tLe Indentare. The Indenture provides that snch declaration
maF in certain events be rescinded by the holdera of not less than
a majority in principal amonnt of the Bonds.
This Bond is transferable by the registered ow-ner hereof, in
person or by duly authorized attorney, at the agencp of the
Companp for that pnrpose in the Borongb of ~ianhattan, The
City of ~•ew York, on booka of tbe Company to be kept for that
pnrpose at said agency, npon snrrender and cancellation of thia
Bond and on presentation of a dnly ezecnted written instrnment
of transfer, and therenpon a new Bond or Bonds of the 1991
Series, of the ssme aggregate principal amonnt and in anthorized
denominations, will be issned to the transferee or transfereea in
ezchange herEfor. This Bond, with or withont other Bonds of
the 1991 Series, may in like manner be eachanged for one or more
new Bonds of the 1991 Seriea of other authorized denominations
but of the same aggregate principal amoun~ The Bonds of the
1991 Serie~ are issnabie only as $egistered Bonds without conpans
in denominations of $1,000 and anp integral mnltiple thereof.
.Any transfer or eachange of this Bond shall be made with-
ont papment (other than any taa or other governmental charge)
and shall be snbject to the terms and oonditions set forth in the .

The Company, eaid Trastees, any paping agent, and sny
registrar may deem and treat the person in whose name this
Bond is registered as the absolute ov~ner bereof for the purpose
uf receiving papment of or on aoeonnt of the principal hereof
and interest (ezcept as stated in the first paragraph hereof ) and
preminm, if any, dae hereon, and for all other pnrposes, and
neither the Gompany, the Trnstees, snp gaying agent nor any
registrar shall be affected by any notice to the contrary.
