No recaurse shall be had for the payment of the principal of,
or the interest (or premium, if any) on, this Bond, or for any
claun based hereon or on the Indenture or any indentnre snpple-
mental thereto, against any inoorporator, or against any atoak-
holder, director or officer, past, present or fntnre, of the Com-
panp, or of any predecessor or snocessor corporation, as such,
either direeUy or throngb the Company or any snch predecesaor
or snccessor corporation, whetLer bp virtue of any constitntion,
stxtute or rnle of law, or by the enforcement of any assessment
or penalty or otherwisc, all snah liability, whether et common
lav~, in eqnity, bp any constitntion, statnte or othervrise, of incor-
porators, stockLolders, directors or o~cers being released by
every o~cner bereof by the acceptance of this Bond and as part
af the consideration for the iasne Lereof and being likewise
released by the terms of the Indentnre ; prnvided, however, that
nothing herein or in the Indentnre contained shall be taken to
prevent reconrse to, and the enforcement of the liability, if any,
of, any sharebolder for or any stoclcholder or snbscriber to capital
stock upon or in respect of shares of capital stock not fnily paid. - '
