(c) An Independent Engineer'a Certificate, dated within 10 days prior to the date of such application, to the effect that, in the opinion of snch Independent Engineer, after giving effect to the application of the prceeeds of sale of the Additional Bonde the authentication of which is being applied for and of all bor- rowings theretofore made and of all secnrities theretofore issued and sold by the Company in connection with the eapanaion or construction program referred to in the accompanying Officera' Certificate pursuant to paragraphs (4), (5) and (6) o f subdlvision (a) of this . 4 4.01, the Company will be able to complete snch ; eapansion or constrnction program within two yeara from the ; date of anch certiScate and will therenpon be able to realize, on ; an annual basis, not lesa than the minimnm amonnt of pro forma ~ net earnings of the Company available for interest and propertp ~ retirement appropriations and not less than the minunum amonnt ~ of pro forma net earnings of the Company available for interest 5 which are reqnired to be shown in snch O~cera' Certificate, pnr- = snant to paragrapbs (1) and (2) of snch subdiLision (a).
