THIS MORTGAGE DEED, executed the t/ day of

(whose former name was Electro-Tec Corp.) of 1600 North
Main Street, Blacksburg, Virginia, hereinafter called the
"mortgagor", to The First National Bank of Cincinnati, Ohio,
as Agent for seven banks includinq itself, of Fourth & Walnut
Streets, Cincinnati, Ohio, 45202, hereinafter called the
"mortgagee".
W I T N E S S E T H:
That for divers good and valuable considerations, and also
in c~nsideration of all indebtedness now due or hereafter
becoming due The First National Bank of Cincinnati, Ohio, as
Agent for seven banks including itself, pursuant to certain
notes payable of the mortgagor to KDI Corporation, mortgagor's
parent corporation, which notes payable are, or will be, held
in pledge by the mortgagee to secure the payment of certain

~ Certificates of Indebtedness executed by KDI Corporation and
~ issued under a Court Order of March 26, 1971, to the extent of

$150,000.00, the said mortgagor does hereby grant, bargain,
sell, alien, remise, release, convey, and confirm unto the said

5 mortgagee, its successors and assigns, in fee simple, all the

~ certain tract of land, of which the said mortgagor is now
seized and possessed, and in actual possession, situate in

~ GROVE on file in Plat Book 12, at page 50 of
