Before me, the undersigned authority, personally appeared
BEN KINGREE, III, to me known to be the person described in and
who executed the foregoing instrument as Secretary of OUTDOOR
RESORTS OF AMERICA,INC., a Tennessee corporation, and he acknow-
ledged before me that he executed such instrument as such ofFicer
of said corporation and that the seal affixed thereto is the cor-
porate seal of said corpo~ation, and that it was aff ixed to said
instrument by due aid regular corporate authority and that said
instrument is the free act and deed of said corporation.
