Grantor and Grantee agree as follows:
~
1. Grantee shall have the right to inspect and repair
the Facilities, together with the rights and privileges
necessary and convenient thereto.
.
2. Grantor shall not utilize the area in which the
Facilities are located in any way or manner which
would (1) create a dan erous condition with respect
to the Facilities, or ~2) create any interference with
the repair and safe maintenance thereof, or (3) not
meet recognized sta~dards of engineering practices and
procedures.
3. Grantor and Grantee each cove~ant to indemnify and hold
Harml~ss the other for~and from any and all damages and
injuries, Nhether to persons or property, resulting from
any means whatsoever if caused by its interference, fault
~ or negligence with the Facilities and/or from interference,
fault or negligence with the facilities by its agents or
employees.
4. Should Grantee fail for any reasonable period of time to
exercise the rights herein granted, then, at the election
of Grantor, all rights and privileges hereunder shall cease _
~ and the easement, rights and privileges herein qranted
shall revert to the Grantor.
5. Grantor covenants that it has the riqht to convey this
easement and that Grantee shall.have quiet and peaceful
possession, use and en3oyment of said easement.
All covenants, terms, provisions and conditions hereof shall
inure to the benefit of and be binding upon the parties hereto and
their respective heirs, administrators, successors and assigns.
