SUSORDINATION AGREEMENT

BERT SAGER, in consideration of the foregoing Mortgage, does
hereby on this 23rd day of February, 1971, agree to subordinate
the lien of that Mortgage upon the properties described in Exhibit
"A" attached thereto to any mortgage which CAL KOVENS, or his estate,
in the event of his death, but not any other successors in interest,
may make upon those properties while the said CAL ROVENS shall be
the owner thereof .
