INDENTURE, dated as of the first day of September, 1971, made and
enter~ed into by and between FtoAro~ PowfiR dc Ltct~rr Coa~rn~NV, a corpo-
ration of the State of Florida, whose post office address is 4200 Flagler Street,
Miami, Florida 33134 (hereinafter sometimes called the Company), party
of the first part, 8IId BANKERS T~tUST COMPANY, a corporadon of the State
of New York, whose post ofI'ice address is Sixteen Wall Street, New York,
' New York 10015 (hereinafter sometimes called the Corporate Trustee), and
THE FI.ORIDA NATIONAL BANR OF lACKSONVILLE, a national banking asso-
ciation organized and existing under the laws of the United States of America,
whose post office address is Jacksonville, Florida (hereinafter sometimes
called the Co-Trustee), parties of the second part (the Corporate Trustee
and the CaTrustee being hereinafter together sometimes called the Trustees),
~ as Trustees under the Mortgage and Deed of Trust, dated as of January 1,
1944 (hereinafter called the Mortgage), wluch Mortgage was eaecuted and ~
delivered by Florida Power & Lig6t Company to secure the payment of bonds
issued or to be issued under and in accordance with the provisions of the
