hereinafter called the "Devcloper", has closed th~ sales
of all of the condominium ap~rtment units, hereinafter ra-
ferred to as "Condominium Units" or until the Developer
elects to terminate i~s control of the Association, or
until one (1) year from ~he date the Declaration of Condo-
. minium is recorded, whichever occurs first; no spec~.al .
members' meetings shal]. be called or convened, except with
the consent and approval of the Developer. _
2.3 Notice of all members' meetings stating the time
and place an3 the ob~ect for which the meeting is called
shall be given by the President or Vice-President or Secre-
tary unless waived in writing. Such notice~shall be in
writing to each member at his address as it appears on the
books of the Association and shall be mailed not less than
seven (7) nor more than forty-five (45) days priQr to the
date of the meeting. Proof of such mailinf; shall be given
by the affidavit of
the person giving the notice. Notice
of r~eeting may be waived before or ai'ter meetit~gs.
i 2.4 A quorum at members' meetings shall consist of

f persons entitled to cast a ma~ority of the votes of the

i entire membership. The acts approved by.a ma~ority of the

~ votes present at a meeting at which a quorum is present sha11
constitute the acts of t;he members, except when approval by
a greater number of rnembers is required by the Declaration
of Condominium, the Articles of Incorporation, or these By-
I..aws . .
