(1) New business. Ad~ournment. , 2.9 Proviso. Provided, however, that until the Developer has completed all of the contemplated irr~rovements and closed the sales of all of the condominium units, or until one (1) year f'rom the date the Declaration of Condominium is recorded, or until the Developer elects to terminate his control of the Condominium whichever shall first occur, the proceedings of all meetings oi' members of the Association shall have no effect unless approved by the Board of Directors. 3. Directors, 3.1 Membership. The affairs of the Association shall be managed by a Board oP Directors who sha.ll be members of the Association, excepting that the first Board of Directors shall consist of three (3} dir~ctors who need not be members of the Association, and thereafter the membership of the Boa~ shall consist of not less than five (5) directors. The Board of Directors may i'rom time to time increase~or decrease the number of persons to serve on the Board, provid ed, however, that the Board shall cansist of an odd number of inembers, and provided, further, that following the term of office of the first Board ' of Directors, the Board shall never consist of Iess than five (5) members.
