If at any meeLing of the Board oi' Directors there be less than a quorum present, ~he m.a~ority of those present may ad~ourn the meeting f'rom time to time. No further notice need be given of an ad~ourned meeting. 3.10 Joinder in r?~eting by approval of minutes. The ~oin- der of a director in the action oP a meeting by signing and concurring in the minutes of that meeting shall consti- tute the presence of such director for the purpose of deter- mining a quorum. 3.11 The pres3dina officer of directors~ meetings shall be the Chairman of the Board if such an officer has been elec- ted; and if none, the~President shall preside. In the absence of the presiding officer the directors present shall designate one of their number to preside. 3.12 The order oi' business at directors' meetings shall be: , (a) Calling o£ roll. ~ ~ (b) Proof of due notice of ineeting. ~ ~ - ~ (c) Reading and dispos~.l of any unapproved minutes. (d) Reports of officers arid committees. (e) Election of officers. (f ) Unfinished business.
