cretion, designate a nominating conmittee ot not
less than L-hree ( 3) nor more thari five ( 5) members .
In the event the Board ahall elect to deaignate auch
a committee, the committee ahall be designated not
less than thirty (30) d~qa prior to the annual election
meeting, and shall be charged Nith the duty oP nominsting
one person for each director to be elected, provided, ?

hoaever, additional nom3nationa shall be received Prom
the Ploor prior to elections at the annual election
meeting.
(c) The election ahall be by ballot (unless
diapensed xith by unanim~us consent) and by a plural-
ity of the votes cast, each person voting being en- ~

titled to cast his votea for each of as mar~y nominees '
as there are vacanciea to be filled. There shall be
no cumulative voting.
