than thirty (30) days aPter its receipt by the Board.
7. Parliamentary rules. Roberta~ Rulea of Order (latest edition)
shall govern the conduct of the Association meetings when Incorporation,
or these By-Laws.
8. Amerximents. A resolution for the adoption of a proposed amer~d- '
~
ment of these By-Laws may be proposed by either the Board of Directora ~
of the Association or by the members of the Aasociation. Membera
may propose such an amendment by instrument in r~?riting directed
to the President or Secretary of the Board signed by not lesa than ten
(10~) percent of the membership. A~ndments may be proposed by the
Board of Directors by action of a ma~ority of the Board at ar~q regularly
constituted meeting thereof. Upon an amendment being proposed as herein
p~ovided Por, the President or, in the event of his reftisal or lailure
~
' to act, the Board of Directors, shall call a meeting of the membership

~ to be held Nithin sixty (60) days for the purpose oP considering said

~ amendment. Directors and members not present in person or by proay at

~ the meeting consideririg the amendment may eapress their app~oval in

~ Mriting, providing auch approval is delivered to the Secretary at or

- prior to the meeting. Except as elaewhere provided, such approvals
' must be either by:

~ (a) Not less than two-thirds (2/3) of the entire

~ membership of the Board oP Directors arid by not less
- than fifty-one (51~) percent of the votes of the entire member- °
ti ship of the Aseociation; or
° (b) Not less than fifty-one (51~) percent of the

_ entire membership oP the Association, or i

(c) In the alternative, an amendment may be made
_ by an agreement signed and acknowledged by all apartment
owners in the manner required Por the execution of a ~
deed, and such amendment shall be effective Mhen
= recorded in the Public Records of St. Iucie County, Florida.
(d ) Until the first election of directors, ar~d so
long as the initial directors designated in the Certifi-
