WITNESSETH:
1. THAT WHEREAS the parties hereto (excepc
for CLAUDE L. EICHEL in his individual capacity) are the iiqui-
dating distributees and former stockholders of FT. P'IERCE BEACH
DEVELOPMENT CO. , a dissolved Florida corporation; and
2. WHEREAS the former stockholders of
FT. PIERCE BEACH DEVELOPMENT CO. wish to prwide for a
convenient method of selling the remain~ng real estate being distri-
~ buted as a liquidating dividend by the corporation, a~f6r the
