NOW THEREFORE, the parties hereto, in
consideration of the sum of Ten (~10. 00) Dollars, the mutual caren$nce
expressed herein. and other good and valuable considerationa, agree
ae follows:
A. That the above recitals are true.
B. That the property listed abowe shall be held
by EI.AUDE L. EICHEL, Trustee, for the benefit of the other

€ parties, (in the percentages specified abave), all of whom are

~ associating for this particular purpose (and for no other purpose) ~

as joint venturers.
~ C. That CLAUDE L. EICHEL shall have no

~ proprietary interest in the assets to be held by him as Trustee,

° and said CLAUDE L. EICHEL agrees to account at least annually
~ ~
~ to all of the remaining parties, and to file a federal partnership .

~ income tax return on behalf of the joint venture.
