ASSSGNMEh'T BY LESSEE
Section 1401. Lessee shall not assign this Lease without the
:ti~ritLen consent of Lessor, ~•hich consent shall not be unreasonably
withheld, and no such assiqnment shall relieve Lessee of its obliga-
tior.s hereunder and Lessee shall continue to be liable as a principal
ar.d not as a quarantor or surety, to the same extent as though no
assi~nnent had been made. - '
Section 1402. I.essee shall not allow or permit any transfer of '
~:.is Lease, or any interest hereunder, by operation of law, or convey, -
:aortgage, pledge, or encumber this Lease or any interest hereunder,
except t;1at if Lessee is permitted by Lessor to sublease all or a por-
;.ion oi tr,e demised premises to a sublessee, Lessee shall remain liable
as ~n Section 1401 provided.
ANNUAL STATEMENTS
S~~ction 1501. Lessee further aqrees to furnish Lessor anr,ually as
soon as possibie after the end of each fiscal year, with a copy of its

; anr.ua~ audited statement, and semi-annual financial statements, if

~ ava~l~ble, and agrees that Lessor may deliver such statements to its

5 ::~;~,gee. So long as Lessee is a publicly held corporation, its

~ _~uc~~ished Annual Report shall satisfy the requirements of this Section

~ i5~~. Failure to so deliver any statement shall not constitute a

~ ae~~u~t hereunder until 30 days after written notice from L~ssor to
~ Lessee of failure to so deliver.

~ INDEA4NITY FOR LITIGATION

~ Section 1601. Lessee further aqrees to pay all costs and expenses,

~ ;nclucing attorney's fees, which may be incurred or imposed on Lessor
eitfie: i`n enforcing this Lease or in any litigation to which Lessor,
~ w~~.:zout fault on its part, may be made a party, and if paid by Lessor,

shail be so much additional rent due on the next rent date after such
