The By-LaMa of the Aaeociation ahall b~ adopted by the Board ot
Directors and may be altared, awended or rescinded in the manner pro-
vided therein.
ARTICLS X~
Amendmenta to theae Articlea of Incorporation shall be propoaed
and adopted in the Polloxing ~aanner:

11.1 Notice of the aub~ect matter of a proposed amendment shall i
be included in the notice of any meeting at ~+hich a propoaed amend-
ment ia to be conaidered.
11.2 A reaolution for the adoption oP a proposed amendment may
be proposed either by the Board of Directora or by the members of the
Aasociation. Directora and m~?bers not preaent in peraon or by proxy
at the meeting con8ldering the amendment may expresa their approval
in rrriting, providing such approval is delivered to the Secretary at
or prior to the meeting. Sxcept as elsewhere provided:
(a) Such approvals must be by not leas than t~o-thirds
of the entire memberahip of the Board of Directore and by `
~ not leas than fifty-one (51~) percent of the votea of the
~
' entire membership of•the Aasociation; or

(b) By not less than two-thirda of the votes oP the
~
~
x entire membership of the Asaociation.

~ 11.3 Provided, harrever, that no amendment shall make any changes F

~ in the qualiPications for membership nor the voting righta of the mam-
~
~ bera, nor any change in Section 3.3 of Article III, Mithout approval
~
~ in trriting by all members and the ~oinder oP all record oxners of
~ -
~ mortgages on t he Condominium Units. No amendment shall be made that

minium. No amend~aent shall be made ~+ithaut the conaent and app~val
of the Dsvelaper eo long as it ahall orm t~+o or more Condominium
Units in the Condominium.
11.4 A copy oP~each amendment ahall be filed xith ths Secretary
of State, pursuant to the provisiona of the applicable Florida Statutea,
F~ and a copy certified by the Secretary of State ahall be recordad in
