5.2 e Preaident ahall be ths chief executivs offiaer ~
of the Aaaociation. He ahall have all o! the po~era ar~d dutiea
uaually veated in the office of preaident of an aaaociation, ~
including but not limited to the power to appoint committeea ~
fmm am~ng the membera from time to time, as he, in hia dia-
cretion, may determine appropriate to assist in the canduct of
the affaira of the Aaaociation.
5.3 The Vice-Preaident in the absence or diaability of
the President ahall eaercise the poxera and perform ~.he dutiea
of the President. He shall also asaiat the Preaident ger~erally =
and exercise auch other powera ar~d perform auch other dutiea as
. shall be preacribed by the Direatora.
5.4 The Secretary ahall keep the ~airiutea ot all proceedinga
of the directora and the members. He ahall attend to the giving

and serving of all notice to the msmbera and direators and other '
notices required by laM. He ahall have cuatodq ot the seal of
the Association and afPix it to instrumenta requiring a seal Mhen `
dulv siar~ed. He ahall keep the r~corda of the Aaaociation, ex-
cept those of the Treasurer, and ahall perform all other duties
~ incident to the office of Secretary of an asaociation a~nd as aaay
~ be required by the directors or the Preaident. The Asaiatant Sec-

~ retary, if any, shall perform the duties of the Secretary Khen
~ the Secretary is abaent, and ahall otherMise aasiat the Secre-

~ 5.5 The Treaaurer ahall have custody of all property o! the

~ Association, including funds, aecuritiea and evidencea of indebted-

~ nesa. He ahall keep the books of the Association in accordance ~

~ xith good accounting practicea; and he ahall perform all other y

~ duties incident to the oPfice of Treaaurer. The Aasiatant Treaeur-
~ er, if any, shall perform the dutiea of the Treaaurer ~+hen the ~
7'reasurer is absent, and shall otharrriae asaist the Trensurer. ~

5.6 No compenaation ahall be paid to any officer of ths ~
~ Association eacept ~+ith the approval oP a ma~ority of the ~ember-
ship, reflected by a vote taken at a duly conatituted memberehip
