8. Amendmanta. A resolution for the adoption of a proposed amerri- '
ment of these By-Idwa ms~y be proposed by either the Board of Directora
oP the Aasociation or by the membera of the Asaocia~ion. Membera
may propoae such an amer~dment by inatrvment in Mriting directsd
to the Preaident or Secretary of the Board signed by not less than ten
(10~ ) percent of the memberahip. Amer?da~enta maq be proposed by the
Board of Directora by action of a ma~ority of the Board at ar~ regularly ~
constituted meeting thereof. Upon an amendment being proposed as herein
provided lor, the President or, in the event oP hia reilxsal or failure
to act, the Board of Directors, shall call a meeting o! the membsrship
to be held xithin siat~r (60 ) days for the purpose of conaidering said

amendment. Directors and membera not present in peraon or by prozy at
the meeting conaidering the amendment may express their approval in

; ~?riting, providing auch approval ia delivered to the Secretary at or

~ prior to the meetirg. Eacept as elaewhere provided, such approvala
