l. Lessor's Rep_resentations. For the purpose of inducing Bank

to make such loan, I.essor represents to Bank that the I,eases are
valid and enforceab~e, that as of the date of the signinq of this
Assignment instrument, none of the Lessees are in breach of any ,
of the terms of the Leases, that none of the rents provided for
in the Leases have been prepaid aa of tlie date of the Bigninq of
this Assignment, and that Lessor has full leqal title to Lessor's
in-~erest in the leases herein assigned. _ f
• 2. Status of Lessor Prior to Def__ ault. Sc lonq as Bank•~as ~
~not exercised those rights hereafter qiven to Bank upon the occur-
rence of an "~vent of Default" (as that phrase is hereafter defined
in this instrument), Lessor sr.all continue to act in the capacity
of landlord, and the I.essees under the Leases shall continue to
pay all rents direct to Lessor (although not prior to the accrual
of such rents). Lessor covenants to Bank that Lessor shall comply
