A. Lessor fails to pay when due any principal or inter-
est owinq under any of the Obligations secured in whole or in part
~ by this Assignment;

ment is determined to have been false in any respect at the time
o£ execution of this Assignment; +
C. Lessor fails to comply fully with any of the provi- '
sions of this Assignment or~ any niortqage or deed of trust or real
estate mortqage constitutinq additional collateral for any of the

-Obligatians; or ~
D. Lessor becomes insolvent, I.essor's existence is ter-
minated, a receiver is appointed fo~ any part or all of I.essor's
property, there is an assignment for the benefit of Lessor's cred=

itors, or there is commenced any proceedinq under any bankruptcy
~ or insaivency law by or against Lessor. ,
~pon the occurrence of any Event of Default, or at any
tin~e thereafter, -Bank may,• by written notice forwarded to Lessees,
require Lessees to forward all payments of rent direct to Bank.
In this. connection, Lessor agrees that the forwardinq of such writ-
tsn no~ice to Lessees will be sufficient authority to Lessees to
iorward all payments of rent to Bank without further consent or
~
~ direction from Lessor. Lessor shall have Bank named as an addi-

tior.al insured under all insurance policies covering the Demised

; Premises. Bank may also, if it so elects, assume the role of Les- ~
~

~ sor and manage the Demised Premises and assume all those riqhts
and powers which are given to Lessor under the Leases. In partic- `

~ ular, Bank may negotiate any of the Leases (even to the extent of
~ ~
~ reducing the rents or decreasing tr.e terms of any such I,eases) and '
~
' enter into new Leases on such terms and conditions as Bank may,
in Bank's sole discretion, deem advisable. Thouqh Bank shall in
~ no event be held liable for failure to do so, Bank may take any

action Bank may deem necessary to enfarce payment<of any rents owinq
