is 1729 H. Street N.W., Washington D.C. (the "Maker") hereby
covenants and promises to pay to Louis A. Chealer ("Payee"),
or to order, at 1314 Firat National Bank Huildinq, Miamf,
Florida or at auch other placa as may be designated in
writinq by Payee the princfpal sum of $284,000.00 toqether
with interest thereon a~t the rate of 7= per annum computed

The principal balance shall be paid in five equal annual
installmenta and one installment shall be due and payable on
each of the followinq dates: December 21, 1972, December 21,
19~3, December 21, 1974, December 21, 1975 and December 21, 1976.
Intereet shall also be paid annually at the same time as
each principal payment. From and after maturity interest
shall accrue at the rate of 10$ per annum.
If Maker fai2s to pay a~ny installment of principal
or interest within 20 days of the date due, Payee may by
written notice to Maker declare the entire amount of
principal then remaining unpaid, together with all
accrued interest, immediately due and payable.
In the event of default, Maker will pay all costs
of collectfon, including reasonable attorneys' fees.

The Maker shall have the privilege of prepaying ~
in whole or in part, the unpaid balance of the principal
sum of thia Note and interest accrued thereon to the date ~
of prepayment without payment of a penalty or premium, ~
at any time.
All notice or other com~aunfcations given hereunder
shall be in ~ritinq, mailed registered or certified mail,
return receipt requested and addressed to the Maker or
the Payee as the case may be at its above stated addresses
or at such other address whfch either may designate by ;
like notice to the other party and such notice shall ~
be effective upon receipt. y

~ by an agreement in writinq and signed by the party ;
aqainst whom enforcement of a waiver, chanqe, modifica-
