1. The Mortgagor warrants that it has a good and ~

marketable title to an indefeasible fee estate in the Mortgaqed
Premises aubiect to no lien, charge or encumbrance except the
matters set forth in Exhibit A attached hereto; and that this
Mortgage is and will remain a valid and enforceable first .
lien on the Mortqaged Premises subject only to the exceptions
referred in Exhibit A. The Mortqagor will preserve such title,
and will forever warrant and defend the same to the Mortgagee
and will forever warrant and defend the validity and priority
of the lien hereof aqai.nst the claims of all persons and par-

2. The Mortgagor will, at the cost of the Mortqagor,
and without expense to the Mortgagee execute, acknowledge and f
deliver and perform such further acts, deeds, conveyances,
mortgages, assignments, notices of assignment, transfers and

£ 3. (a) The Mortgagor forthwith upon the execution

~ and delivery of this Mortgage, and thereafter from time to

~ time, will cause this Mortgage and each instrument of further

~ assurance to be filed or recorded in such manner and in such

~ places as may be required by any pre~ent or future law in
