(b) ihe 3oard of ~irectors may, at its dis- •
cretion, designate a nominating ~omrr~ittee of nct

In the event the Board shall elect to designate such
a committee, tne committee shall be designated not 3ess
than thirty (30) ciays prior to the annual election meeting,
and shall be charged with the duty of nominating one person
for each director t~ be elected, provided, however,
additional nominations shall be ree~ived from the

(c) The election shall be by ballot (unless ~
dispensed with by unanimous consent) and by a plural- ~
ity of the votes cast, each persor. voting being ~n-
