9. Association and M3naPcment Apreementi. The Leaaee, in its -
capacity as o om n um-- ssoc a on,- as-en ered into a iKanagement
Agreement with RECAP MANAGEMENT CORPORATION as Manager. The Manager
~ has the duty and reaponsibil3ty to perform all administrative and man-
agerial acte required to be performed by the Lesaee under thia Non-Ex-
clusive Ninety-Nine Year Lease Agreement.
Due to the size and extent and the complexities involved in ad-
ministering the COLONNADES CONDOMINIUM COMPLEX, it is'mutually agreed
that in the event aPoresaid Management Agreement is terminated, the ~
Lessee shall cause to be formed a Management Association consisting oP ~
. the members of all the Condominium Associations at Colonnades Condomi-
• ' lum Complex.
, The owner of each condominium unit, as evidenced by the recordation
• o~ a deed thereto, shall automatically become a member of the Manage-
ment Association; in the event that the aforesaid Management Agreement
. is terminated in any manner.. Each condominium unit shall be entitled _
to cast one (1) vote in matter upon which a vote is required. The
afPirmative vote of a ma~ority of the members constituting a quorum
ehall be necessary to conduct the buainess of the Management Association.
. - It is recognized that the sole purpose of the Management Association
ahall be to perform the terms and proviaions oP this Non-Exclusive
Ninety-Nine Year Lease in lieu of the Manager and that the Lessee ehall
continue to be entitled to possessory and use intereat herein and make
all paymenta required by this Agreement and be bound by its terms aryd
proviaiona.
10. Repairs and Maintenance. Lessee ahall at all times during
~ the terms o s ase, a s own expense, make all necessary re-
~ pairs and replacements to the Demised Premises and maintain the
; same in good condition. This covenant shall include the obligation
~ ~ upon the part of the Lessee to replace or renew when necessary ar~y
~ item oP furniture, fixtu~es, machinery and equipment and all such .
s replacements and renewals shall be at least equal in quality and ~
~ - class to ~he original equipment, furnishings, machinery or fixturea. .
; Air conditioning, pool and other such equipment and machinery shall
be regularly serviced and maintained under appropriate se rvice con-
~ tracts. Lessee shall keep and maintain all portions of the Demised ~

~ Premises in clean and orderly condition, ~ree of accumulation of ~
a dirt and rubbish and pest infestation. All bulldings, structures
~ • and improvements, furniture, f'urnishings, fixtures, machinery and
~ equipment now or hereafter replaced or bought, or intended for use
~ upon the Demised Premises shall be a part thereof arid thereby the
` property oi' the Lessor, without payment therefor by the Lessor, and
~ shall be surrendered to the Lessor upon the expiration or earlier
. termination of this I~ease without cost or charge to the Leasor.

~ 11. Mechanics' Liens. Al1 persons are heroby plac~d on notice

: of the Lessee, or any person claiming under, by or through the Les-
