1. Grantee shall have the right to inspect and repair
the facilities, together with t he rights and
privileges necessary and convenient there~o.
2. Grantor shall not utilitze the area in which
the facilities are located in any way or manner
which would (1) create a dangerous condition
with respect to the facilities, or (2j create
any interference with the repair and safe
maintenance •thereof, or (3j not meet recognized
standards o£ engineering practices and procedures.
3. Grantor and Grantee each covenant to indemnify
and hold harmless the other for and from any and
all damages and injuries, whether to persons or
property, resulting from any means whatsoever if ~

caused by its interference, fault or negligence
with the facilities by its agents or employees.

4. Should Grantee fail for any reasonable period of '
time to exercise the rights herein granted, then,
at the election of Grantor, all rights and
privileges hereunder shall cease and the easement,
rights and privileges herein granted shall zevert
to the Grantor.
5. Grantor covenants that it has the right to convey '
this easement, and that Grantee shall have quiet
and peaceful possession, use and enjoyment of
; said easement. ;
I; All covenants, terms, provisions and conditions hereof
; shall inure to the benefit of and be binding upon the parties hereto

and their respective heirs, administrators, successors and assigns.
