This agreement, entered into this lst day of November 1969.

by and between George J. Mac Lean, party of the firet part

and Wesley J. Moffatt, party of the second part. ,

W I T N E S S E T H
That in consideration of the mutual covenants, hereinafter
contained, the parties agree as follows: ~ ~
l. That both parties having already joined themselves
into a partnership agreement as of March lst, 1969 agree as
followss ~
2. The operations, knoown as Dinner Key auditorium.
along with concessions therein, fisherioans haven, knawn~also
as Ever~lades Holiday Park a d the 52.8 acres of land in

Port St. Lucie, along with ~lots purchased from General
Development Company, known as lots 7,8 & 9, of block 38~

Port st. Lucie, Fla. be assigned from George J. Mac Lean
into Wee Mac Corp. .
3. All revenues received from these operations are to
i be received by Wee Mac Corporation. Records of income from

~ this date forward are to be kept by Wee Mac Corporation.

~ All expenses incurred f~om this date forward, shall be paid
by Wee Mac Corporation.
4/ Thia agreement shall in no way alter any of the terms
and conditions of the partnership agreement, entered into
by Mac Lean and Moffatt on March lst, 1969. ~
5. This agreetent shall in no way alter the bill of sale -
by Mac Lean to Wee Mac Corporation as of Sept. 30, 1969.

~ 6. All contracts entered into from this date forward
between Mac Lean and exhibitors, recreation affairs, or sho~ws, etc.
that are held at Dinner Key auditorium and Fishermans Haven, ~
including, but not limi.ted to any contracts that may involve
Wee Mac Coproration and a lessor, or purchaser, or sale of
any kind aha21 be made with the approval of officers of
Wee Mac Corporation. ~
