If for any reason whatsoever the partnership does not consummate ~

the acquisition of the property herein described, the terms of the partnership ~

shall automatically terminate and upon his signing and acknowledging a

Certificate of Cancellation of the Partnership, the respective cash contribution
of each parrner shall be returned to him without interest.
VIII.
~ Each parrner, for the purposes of the business aforesaid, shall have
power to use the name of the firm, and to bind the same, in making contracts
and purchasing goods, and in otherwise trading, buying and selling on account

of said firm, and for the benefit thereof, and not otherwise.

~ (a) 'Ihe contributions to the capital of the parrnership by the

~ partners may be returned to them, in whole or in part, at any time in the sole

~ discretion of a majority of the parrners, all of such returns of contributions to ~

capital shall be prorata to all parrners in praportion to their respective original ¢
i
~
~ contributions to the capital of the partnership.

~ (b) Irrespective of any return of contributions to capital in
~
~
accordance with the preceding sub-division (a) of this Paragraph X, the income
~
~ and profits which may accrue from the business of the parrnership after deducting ~
~
~
~ all expenses in connection with ~the conduct and management of said business, ~
~ ,
~ shall be shared and divided among all the parrners, pro rata, in proportion to
~
~ their respective original contributions to the capital of the parrnership.
