persons, firms or corporations as they, in their sole judgment, shall deem
advisable for the operation and management; agents, accounts and lawyers, on
such terms and for such compensation as they in their sole judgment sha11
determine.
(d) 'Ihe fact that a parrner or a member of his family is direcdy ~

or indirectly interested in or connected with any person, firm or corporarion ~

employed by the parrnership to render or perform a service or from which or ~
whom the parrnership may buy merchandise or other praperty sha11 not pro- ;

hibit the parrners from employing such person, firm or corporation or form ~
otherwise dealing with him or it, and neidier the partnership, nor the parrners
thereof, shall have any rights in or to any income or profits therefrom. ~
(e) In addition to the specific rights and powers herein granted to -
*.he partners, they shall possess and may enjoy and exercise all of the rights
and powers of partners as provided in the Partnership I~aws of the State of ?
Florida.
XVI.
In the event of the death, retirement or adjudication of insanity or in-
E competency of a partner, the parrnership shall not thereby be dissolved and

~ ~ terminated, and the business of the parrnership sha11 be continued unless the ~
~ remaining parrners shall determine that the partnership be dissolved. Upon ~
~ ' i
` the determination to so dissolve, the partnership shall forthwith be dissolved `
~ ~
~ and terminated, and upon such termination of the parrnership, a notice of ~

~ dissolution shall be filed.

~ XVIL
~
~ The parrnership shall terminate upon the happending of any of the ~
~
~ following events: ~
~ (a) The sale of a11 of the parrnership property provided, however, ~
~
~ that in the event of a sale and leaseback, and the partnership is the owner and `
s holder of such leasehold, until there is a sale of the lease owned by the
~
~
~ partnership.
(b) Mutual consent of all parrners.
