WHEREAS, pursuant to the am~nded and restated Declaration ;
of Trust of Guardian Mortqage Investors, as amended, JAMES H.
WINSTON duly resigned as a Trustee ot Guardian Mortqage Investors
on April 25, 1972, and JOHN H. ROGERS was duly appointed as a
Trustee of Guardian Mortgage Investors on April 25, 1972;
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS: That
GORDON A. TAYLOR, CHURCHILL G. CAREY, EUGENE L. AMBER, J. C.
TYLER, JR., JOHN D. UIBLE and JOHN H. ROGERS, not individually,
but as Trustees of Guardian Mortgage ;nvestors, a Massachusetts

Business Trust, under Declaration of Trust dated March 29, 1966,
as amended, having complete power to deal with trus~ property as
set forth in said Declaration of Trust and as set forth in recorded
instruments and instruments to be hereafter recorded, do each
hereby, pursuant to said Declaration of Trust, delegate the power
and authority to any aforesaid Trustee, to wit: Gordon A. Taylor,
Churchill G. Carey, Eugene L. Amber, J. C. Tyler, Jr., John D.
Uible or John H. Rogers, to execute and deliver on behalf of and
in the names of the undersigned Trustees as aforesaid, with respect
to trust property now or hereafter owned or to be owned by the
Trustees, any of the following:
(a) deed conveying real property;
; (b) assignment, partial release, satisfaction or
i reconveyance of mortgage, deed of trust, deed -
~ to secure debt or any other type of security
~ instrument; participation agreement; assignment

or any other type of security instrument, security i
agreement or financing statement;
(g) endorsement on any note, with or without recourse;

(i) any plat in which the Trustees are requested to join i
