KNOW ALL MEN BY THESE PRESENTS: That GOR~nN A. TAYLOR,
CHURCHILL G. CAREY, EUGENE L. AMBER, J. C. TYLER, JR., JOHN D.
UIBLE and JOHN H. ROGERS, not individually, but as Trustees of
Guardian Mortgage Investors, a Massachusetts Business Trust, under
Declaration of Trust dated March 29, 1966~ as amended, having
complete power to deal with trust property as set forth in said
Declaration of Trust and as set forth in recorded~instruments and
instruments to be hereafter recorded, do each hereby, pursuant to
said Declaration of Trust, delegate the power and authority to any
one of the following, to-wit: Patrick M. Ahern, A._ H. Adams III,
Russell C. Rossow, Steven J. Lee, John P. Rees, Betty+Alderman or
W. L. Jeter, to execute and deliver as attorney for and on behalf
of and in the names of the undersigned Trustees as aforesaid, with
respect to trust assets no~ or hereafter owned or to be owned by
the Trustees, any of the following:
(a) deed conveying real property;
(b) assignment, partial release, satisfaction or
reconveyance of mortgage, deed of trust, deed
to secure debt or any other type of security

(e) financing statement, construction loan agreement,
development loan agreement, commitment of any type;
(f) consolidation and/or spreading agreement of any
note, mortgage, deed of trust, deed to secure debt
or any other type of security instrument, security
agreement or financing statement; .
~ (q) endorsement on any note, with or without recourse;
(h) agreement to purchase any type of property and/or
lease any type of property; lease of any property;
(i) any plat in which the.Trustees are requested to join
into as a Zender or any separate instrument providing ~
for joinder in plats as a lender; covenants, conditions
and/or restrictions or any separate instrument providing
for joinder in covenants, conditions and/or restrictions;
