PERSONALLY appeared before me, the undersigned
authority, L.H. BUTLER, a/k/a LAVON BUTLER and ETHEL M. BUTLER,
President and Secretary, respectively, of REGAL PET CENTERS OF
MIAMI, INC., a Florida corporation, after being first duly
sworn and deposed and said as follows:
1. That the agreement entered into by and between
REGAL PET CENTERS OF MTAMI, INC., a Florida corporation, and
L.H. BUTLER and ETHEL M. BUTLER on March 12, 1969, for the
adoption of a Pension Plan and Trust,.to be known as the REGAL
PET CENTERS OF MIAMI, INC., PENSTON TRUST, is still in fnll force
and effect as of this date and that the said L.H. BUTLER and
ETHEL M. BUTLER are still the Trustees under that Pension Plan
and Trust.
2. That there have been no amendments, modifications,
or alterations to said Pension Plan and Trust which would affect
their authorization and ability to act as Trustees.
